Terms of Service

These terms are the agreement between your firm and North Lemma for use of the platform. They set out what we provide, how the Service may be used, who owns what, and the important limits, including that North Lemma produces analytics, not investment advice.

01 Acceptance

By accessing or using the North Lemma Service, or by signing an order that references these terms, you agree to them on behalf of your firm. If you are entering into these terms for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Service. Where a separate signed master agreement exists between your firm and North Lemma, that agreement controls to the extent of any conflict.

02 The Service

North Lemma is a decision-intelligence platform. It ingests position and trade data and investment theses, and produces evaluations, calibration statistics, and portfolio, decision and risk analytics that connect reasoning to outcomes. We may update, improve or change features over time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

03 Accounts & access

Access is provisioned per firm. You are responsible for safeguarding your access credentials, for all activity under your workspace, and for ensuring the people you allow to use it comply with these terms. Notify us promptly at security@northlemma.com of any suspected unauthorized access. You must provide accurate information and keep it current.

04 Acceptable use

You agree not to:

  • Access or attempt to access another firm's data, or probe, scan or test the security of the Service without authorization.
  • Reverse engineer, decompile, or attempt to extract source code or models, except where such restriction is prohibited by law.
  • Resell, sublicense or provide the Service to third parties as a service bureau without our written consent.
  • Upload malware, or content you have no right to upload, or use the Service to violate any law or third-party right.
  • Interfere with the integrity or performance of the Service, or circumvent usage limits, rate limits or access controls.

05 Your data & ownership

As between the parties, your firm owns all content it imports and the analysis derived from that content ("Customer Data"). You grant North Lemma a limited, non-exclusive license to host, process and display Customer Data solely to provide and support the Service, and as instructed in our Data Processing Agreement. We do not use one customer's confidential content to build or train features for another customer. We may use aggregated, de-identified operational metrics that do not identify you or your firm to improve the Service.

06 Our intellectual property

North Lemma and its licensors own the Service, including its software, models, methodologies, scoring rubrics, interfaces and brand. These terms grant you a right to use the Service; they do not transfer any ownership in it. Feedback you choose to share may be used by us without obligation. All rights not expressly granted are reserved.

07 Not investment advice

The Service produces analytics and informational outputs about your own decisions and portfolio. It is a tool for professional investment teams to review their process. It is not investment, legal, tax or accounting advice, and it is not a recommendation to buy, hold or sell any security. Outputs may be incomplete or wrong, and rely on the data you provide and on third-party and AI systems. You are solely responsible for your investment decisions and for independently verifying anything you act on. Past performance and any modeled figures do not guarantee future results.

08 Third-party data & services

The Service uses third-party providers, including an AI provider for evaluation and a market-data provider for reference and pricing information, as described in our Privacy Policy. Third-party data is provided "as is" and may contain errors or delays; North Lemma is not responsible for third-party content or availability. Your use of such data through the Service is subject to the relevant provider's restrictions.

09 Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these terms, and not disclose it except to personnel or contractors bound by confidentiality. Customer Data is your confidential information. These obligations do not apply to information that is public through no fault of the receiver, independently developed, or rightfully obtained from a third party.

10 Disclaimers

Except as expressly stated in a signed agreement, the Service is provided "as is" and "as available", and North Lemma disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that outputs will be accurate, complete or suitable for any particular decision.

11 Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, or trading or investment losses, arising out of or related to the Service, even if advised of the possibility. North Lemma's total aggregate liability arising out of or related to the Service will not exceed the amounts paid by your firm to North Lemma for the Service in the twelve months before the event giving rise to the claim. These limits reflect the allocation of risk between the parties.

12 Term & termination

These terms apply while you use the Service. Either party may terminate for material breach that is not cured within 30 days of notice. On termination, your right to use the Service ends and we will delete Customer Data as described in our Privacy Policy and DPA. Sections that by their nature should survive termination, including ownership, confidentiality, disclaimers and liability, will survive.

13 Governing law & changes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there, unless a signed agreement states otherwise. We may update these terms as the Service evolves; we will revise the "Last updated" date and, for material changes, notify workspace administrators. Continued use after an update constitutes acceptance.
